PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING ANY DRIVERLY SERVICE, SUBMITTING AN APPLICATION THROUGH DRIVERLY, OR CREATING A DRIVERLY ACCOUNT. THESE TERMS FORM A LEGALLY BINDING AGREEMENT THAT GOVERNS YOUR USE OF DRIVERLY’S PLATFORM, LIMITS DRIVERLY’S LIABILITY, SETS THE GOVERNING JURISDICTION FOR DISPUTES AND CONTAINS OTHER IMPORTANT PROVISIONS.

BY USING DRIVERLY, CREATING AN ACCOUNT, OR SUBMITTING ANY FORM OR APPLICATION, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND THAT YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE DRIVERLY.

Acceptance of These Terms

Driverly (driverly.ca) is an online platform that connects users with participating car dealerships and automotive partners for vehicle-related services including assistance finding a dealership, connecting with financing partners, arranging appointments and submitting preliminary information for credit evaluation (“Products and Services”). Driverly itself is not a lender, dealer or financial institution.

These Terms are a binding agreement between you and Driverly regarding your account, your applications submitted through Driverly and your use of all Products and Services. If you do not fully accept these Terms, you may not use Driverly.

Other Agreements

Your use of the Driverly website is also governed by the Driverly Website Terms of Use. Certain Products or Services may include additional terms (“Additional Terms”). If there is a conflict, the Additional Terms take priority for that specific Product or Service.

Changes to These Terms

Driverly may change these Terms at any time by updating them on the Website. Changes are effective immediately unless otherwise stated. Your continued use of Driverly after changes means you accept the updated Terms.

Permitted Customers

Driverly may be used only by individuals physically located in Canada who are the age of majority in their province or territory and who are legally able to enter a binding contract. You may not use Driverly if prohibited by law, if you previously breached these Terms or if Driverly has restricted or prohibited your access.

Driverly may refuse any application or request at its discretion.

Permitted Use

You may use Driverly only for lawful, personal, non-commercial purposes. Any other use is strictly prohibited.

Accounts and Credentials

Access to some Services requires a Driverly account. You may have only one account. Your login credentials must be kept confidential. You are responsible for all activity under your account. Notify Driverly immediately at [email protected] if your account or credentials have been compromised.

Driverly may suspend or terminate your account at any time. If your account is terminated, you may not create another without written consent.

Accurate Information

You must provide true, accurate and complete information when creating an account or submitting an application and update it as required. Driverly may verify the information you provide. You are responsible for any loss or liability caused by providing false or incomplete information.

Personal Information and Credit Reports

By using Driverly, you consent to the collection, use and disclosure of your personal information as described in the Driverly Privacy Policy.

Certain Products and Services may require Driverly or its partners to obtain your credit information from credit bureaus. If Driverly refers you to an independent dealership or finance partner, that business may also request a credit report for your application. Driverly may receive information about the outcome of your referral to update your profile.

Transactions

(a) Errors: Driverly strives for accuracy but errors may occur. Driverly may correct any error without notice.

(b) Availability: Products and Services may not be available at all times. Driverly may decline any request or application.

(c) Prices: All pricing displayed on the website is in Canadian dollars unless stated otherwise. Taxes and fees may apply.

(d) Orders: Content on the Website is an invitation to apply, not an offer. Applications are offers made by you. Applications are accepted only once Driverly confirms acceptance.

Technical Requirements

You are responsible for maintaining all devices, internet connections and software required to use Driverly. Standard carrier charges may apply for text messages or data use.

Monitoring

Driverly is not obligated to monitor use of its Services but may do so for administrative, compliance or legal purposes.

Feedback

Any feedback you provide may be used by Driverly without compensation.

Communications

You authorize Driverly to accept communications from you electronically and to respond electronically. Driverly may refuse or reverse communications it believes to be fraudulent or defective.

Proprietary Rights

All Driverly content, technology and intellectual property are owned by Driverly and its licensors. Your use of Driverly does not transfer any intellectual property rights to you.

Referred Businesses and Linked Sites

Driverly may refer you to independent dealerships or finance partners (“Referred Businesses”) and may display products or services from those businesses. Driverly does not control or guarantee any Referred Business or any product or service they offer. Any transaction with a Referred Business is solely between you and the Referred Business.

Driverly is not responsible for the content or practices of linked third-party websites.

Your dealings with any Referred Business or linked website are at your own risk.

Disclaimers, Limitations of Liability and Indemnity

GENERAL DISCLAIMER: TO THE FULLEST EXTENT PERMITTED BY LAW, DRIVERLY SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING FITNESS, ACCURACY, RELIABILITY, PERFORMANCE, NON-INFRINGEMENT OR MERCHANTABILITY.

TECHNOLOGY DISCLAIMER: DRIVERLY DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE ACCESS AND IS NOT RESPONSIBLE FOR INTERNET OR COMMUNICATION FAILURES.

LIABILITY EXCLUSION: TO THE FULLEST EXTENT PERMITTED BY LAW, DRIVERLY IS NOT LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES ARISING FROM YOUR USE OF DRIVERLY SERVICES, EVEN IF DRIVERLY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INDEMNITY: YOU AGREE TO INDEMNIFY DRIVERLY AGAINST ALL CLAIMS OR LOSSES RELATED TO YOUR USE OF DRIVERLY, YOUR BREACH OF THESE TERMS OR YOUR MISCONDUCT.

RESERVATION: SOME LAWS MAY NOT ALLOW CERTAIN EXCLUSIONS; THOSE PARTS OF THESE TERMS MAY NOT APPLY TO YOU.

Termination

These Terms remain in effect until you stop using Driverly. Termination does not affect earlier transactions. Other agreements with Driverly or partners may remain in force.

Governing Law

These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada.

Disputes

Unless prohibited by law, disputes will be resolved by binding arbitration administered by ICDR Canada, with one arbitrator, in Toronto, Ontario, in English. Driverly may seek injunctive relief in court. You must bring any legal action within twelve months of the dispute.

General Matters

These Terms bind you and your legal successors. Driverly may assign its rights under these Terms without notice. You may not assign your rights without written consent.

Notices may be sent to the email or postal address you provide. You are responsible for keeping your contact information current.

Driverly is not liable for delays caused by events beyond its control.

If any part of these Terms is invalid, the remaining sections continue in effect.

These Terms, plus any Additional Terms, form the complete agreement between you and Driverly.

Testimonials displayed by Driverly represent individual experiences but may not reflect typical results. Some identifying details may be changed.
