If you are dissatisfied with the Website your only remedy is to stop using the Website.

In these Terms of Use, “Driverly Group” means Driverly and its licensors, suppliers and service providers and each of their respective directors, officers, employees, contractors, agents, shareholders, distributors and representatives, jointly and severally.

To the fullest extent permitted by law, in no event will Driverly Group be liable to you or any other person for any loss, damage, cost, expense or liability of any kind, including direct, indirect, special, incidental, consequential or punitive damages, arising from or related to your use or inability to use the Website or any related matter, under any theory of liability, even if Driverly knew or should have known of the possibility of such loss or damage.

Restrictions, Changes and Termination

Driverly may change, suspend or terminate the Website or any part of it at any time without notice or liability. Driverly may also limit, suspend or terminate your use of the Website at any time without notice or liability.

Governing Law

Driverly has its head office in the Province of Ontario.

These Terms of Use, the Website and all related matters are governed by the laws of Ontario and the federal laws of Canada that apply in Ontario, without giving effect to rules about conflict of laws.

Disputes

Except where prohibited by law, any dispute, controversy or claim arising out of or relating to these Terms of Use or the Website will be resolved by binding arbitration administered by ICDR Canada under its Canadian Arbitration Rules.

There will be one arbitrator. The place of arbitration will be Toronto, Ontario. The language of the arbitration will be English. If ICDR Canada is not operative the arbitration will proceed on an ad hoc basis under the Arbitration Act of Ontario.

Driverly may seek injunctive or similar relief in any court of competent jurisdiction to enforce these Terms of Use or protect its rights and interests.

You must commence any legal proceeding regarding a dispute within twelve months after the dispute arises. After that time, any claim is permanently barred, subject to any shorter time limit under applicable law.

General Matters

These Terms of Use are binding on you and your heirs, executors, administrators, successors and personal representatives. They are for the benefit of Driverly.

No waiver of any breach is effective unless in writing and signed by Driverly, and no waiver of any breach will be deemed a waiver of any other or future breach.

The rights and remedies of Driverly under these Terms of Use are cumulative and in addition to any other rights or remedies available at law or in equity.

You may not assign these Terms of Use or any of your rights or obligations without Driverly written consent. Driverly may assign these Terms of Use without your consent.

If any provision of these Terms of Use is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect, unless this would defeat the essential purpose of these Terms of Use.

These Terms of Use are the entire agreement between you and Driverly regarding your use of the Website. They may be changed only as described in section 3.
